This AI Services Addendum (“Addendum”) supplements and forms part of the Subscription Services Agreement or other agreement between CAMP Software, Inc. (“CSI”) and Subscriber governing access to and use of the Services (the “Agreement”). Capitalized terms used but not defined in this Addendum have the meanings set forth in the Agreement.
This Addendum applies only to AI Services provided by CSI to Subscriber as part of the Services and does not modify the remainder of the Agreement, which remains in full force and effect. If there is any conflict between this Addendum and the Agreement, the terms of this Addendum control with respect to the AI Services.
“AI Services” means any part of the Services that use large language models or other machine learning and/or artificial intelligence to generate Output.
“Input” means any data, content or materials that Subscriber submits to the AI Services, such as text, audio, video, images or other materials. For clarity, any information that Subscriber submits as a prompt or query is only an Input to the extent that the Subscriber generates that prompt or query. Any prompts, suggestions, guidelines, queries, weights or parameters that CSI provides or incorporates into its Services or that are presented to or available to Subscriber to modify or supplement does not constitute an Input.
“Output” means the response, content or data generated by the AI Services based on an Input. For clarity, any guidelines, weights or parameters that are incorporated into or used by CSI to generate Output does not constitute Output.
“Provider Materials” means any algorithms, models, prompts, parameters, training data and underlying software used to offer the AI Services.
“Subscriber Confidential Information” means any business, technical or financial information, materials, or other subject matter disclosed by Subscriber to CSI that (a) is identified as confidential at the time of disclosure; or (b) should be reasonably understood by CSI to be confidential due to its nature and the circumstances of its disclosure. “Subscriber Confidential Information” does not include information that: (i) is or becomes generally available to the public other than as a result of a breach of Section 5 of this Addendum by CSI; (ii) was in CSI’s possession or known by CSI prior to receipt from Subscriber without breach of any confidentiality obligation to Subscriber with respect to such information; (iii) is made available to CSI by a third party that, to CSI’s knowledge, is not subject to an obligation to Subscriber to keep such information confidential; or (iv) was independently developed without use of Subscriber Confidential Information.
The AI Services may require you to provide Input, which will be used by the AI Services to generate Output. Subscriber represents and warrants that it has all rights, permissions and consents necessary to provide the Input to the AI Services and that its use of the AI Services will comply with all applicable laws, the Agreement, the DPA and this Addendum.
As between Subscriber and CSI, and to the extent permitted by applicable law, Subscriber (a) retains its ownership rights in Input and (b) owns the Output. CSI hereby assigns to Subscriber all of CSI’s right, title, and interest, if any, in and to Output.
Subscriber has no rights in or to Provider Materials, which are and will remain the sole property of CSI and its licensors.
CSI will not use Output or Subscriber Data to train or improve any models, except (i) for customized training of the AI Services only for Subscriber’s benefit or (ii) with Subscriber’s permission or at Subscriber’s instruction. CSI may compile statistical and technical data derived from Subscriber’s usage of the AI Services. Subscriber grants CSI all rights necessary to use any feedback or suggestions voluntarily provided by Subscriber relating to the AI Services without restriction or compensation.
Subscriber is solely responsible for its Inputs and its use of Outputs. Any personal data Subscriber submits to the AI Services shall be processed in accordance with the DPA. Subscriber must not input or attempt to generate Output using sensitive data, including any information that would be considered “sensitive personal information,” “special category personal data” under applicable privacy laws, or other regulated data such as protected health information governed by HIPAA, government‑issued identifiers or financial account information. Subscriber must implement appropriate policies, obtain necessary consents and provide adequate human oversight when using AI‑generated Output.
Subscriber will not, and will not permit anyone else to, use the AI Services to (i) infringe third‑party rights or applicable laws; (ii) develop, train or improve any AI or machine‑learning models separate from authorized use of the AI Services; (iii) copy, create, offer, train, or sell any competing AI technology system, product, service, or offering with the same or similar functionality as the AI Services; (iv) misrepresent Output as wholly human‑generated or endorsed by CSI; (v) engage in illegal, discriminatory, harassing, harmful or unethical activities; (vi) violate any technical documentation, usage guidelines or policies provided by CSI; or (vii) interfere with or circumvent any access restrictions or security measures of the AI Services.
CSI may use third‑party AI technologies or subprocessors to provide portions of the AI Services (“Third-Party Providers”). If Third‑Party Providers require additional terms to flow down to Subscriber, those terms will be communicated via CSI’s website or other reasonable means and will be binding on Subscriber. Subscriber’s use of any third‑party AI functionality is subject to the terms of service and privacy policies of those Third-Party Providers.
CSI agrees it will: (a) only use Subscriber Confidential Information to exercise its rights and fulfill its obligations under this Addendum and the Agreement; (b) take reasonable measures to protect Subscriber Confidential Information; and (c) not disclose Subscriber Confidential Information to any third party except as permitted in this Addendum or the Agreement or as otherwise mutually agreed in writing. CSI may disclose Subscriber Confidential Information only to its affiliates, directors, officers, employees, contractors, Third-Party Providers and representatives who have a need to know such information in connection with the provision of the Services.
CSI may disclose Subscriber Confidential Information to the extent required by applicable law. If permitted by applicable law, CSI will give Subscriber reasonable advance notice of the required disclosure and reasonably cooperate, at Subscriber’s expense, to obtain confidential treatment for the Subscriber Confidential Information.
Upon termination of the Agreement, or earlier to the extent requested in writing by Subscriber, CSI will promptly destroy Subscriber Confidential Information in its possession; provided, that CSI may retain Subscriber Confidential Information (i) to the extent required to do so for legal or regulatory purposes or pursuant to bona fide internal compliance or audit policies and procedures and (ii) that is contained in any electronic file created pursuant to any routine back-up and/or archiving procedure; provided, further, that in each of the foregoing cases, CSI will continue to be bound by its confidentiality hereunder for so long as such Subscriber Confidential Information is retained.
The AI Services are provided “as is” and at Subscriber’s sole risk. CSI disclaims all warranties, express or implied, including any warranties of merchantability, fitness for a particular purpose or non‑infringement. CSI does not guarantee that the AI Services will be uninterrupted or error‑free or that any errors will be corrected.
CSI does not guarantee, and does not and is not obligated to verify, authenticate, monitor or edit Inputs or any other Subscriber Data for completeness, integrity, quality or accuracy. Subscriber shall be responsible and liable for the completeness, integrity, quality and accuracy of Input.
CSI does not warrant that any Output will be accurate, complete, current, original or free from third‑party content. Output may incorporate or reflect third‑party materials, and CSI does not represent that Output will not infringe third‑party intellectual‑property rights. Subscriber should not rely on factual assertions or instructions in Output without independently verifying their accuracy. Subscriber is solely responsible to ensure that all Output is checked and validated, that they are fit for Subscriber’s purpose and that they are in compliance with applicable laws prior to their use. Subscriber acknowledges that Outputs provided to Subscriber may be similar or identical to Outputs independently provided by CSI to other customers and/or users.
Subscriber shall indemnify, defend and hold harmless CSI, its members, managers, officers, directors, shareholders, employees, parent and affiliate entities, agents and representatives against all damages, claims, liabilities, losses and other expenses, including without limitation reasonable attorneys’ fees and costs, whether or not a lawsuit or other proceeding is filed, that in any way arise out of or relate to Subscriber’s use of the AI Services in violation of this Addendum, the Agreement or applicable law.
To the maximum extent permitted by law, CSI disclaims all liability for indirect, incidental, special, consequential or punitive damages or damages for lost profits or diminution in value, whether foreseeable or not, that are in any way related to this Addendum. CSI’s total liability under this Addendum will not exceed the amount of the Subscription Fee actually paid to CSI by Subscriber in the twelve (12) months immediately preceding the occurrence of the event giving rise to the claim.
This Addendum constitutes the entire agreement between the parties with respect to the AI Services and supersedes all prior or contemporaneous understandings relating to the AI Services. If any provision of this Addendum is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect. CSI may modify this Addendum at any time by posting an updated version; Subscriber’s continued use of the AI Services after changes become effective constitutes acceptance of the updated Addendum. This Addendum is governed by the governing law specified in the Agreement and is subject to the dispute resolution provisions of the Agreement.
